We are dissolving a West Virginia LLC with a lot of debt, including a current default on State Consumer Sales tax, which is a Trust Fund Tax. Can I incorporate again or do I have to wait until I clear that with a payment plan?

Yes: you may certainly form a new business entity; as you so elect;

be it an LLC, or a C-corporation; or an S-corporation; or a partnership, etc.

The outstanding liability has no impact on your ability to form a new business

entity.
